Terms of Service

1. Acceptance of these terms
Atrium Wealth Council (the "Service") is owned and operated by Alter3d Development LLC ("Alter3d", "we", "us", "our"). By creating an account or otherwise using the Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms form a binding agreement between you and Alter3d Development LLC.
2. Educational guidance, not financial advice
The Service provides AI-generated educational analysis, projections, and frameworks to help you think more clearly about your finances. It is not licensed investment, tax, legal, accounting, or fiduciary advice. We are not a registered investment adviser, broker-dealer, CPA, or law firm. You should consult a qualified, licensed professional before acting on any output from the Service.
You are solely responsible for any decisions you make. Past performance and projections are not guarantees of future results.
3. Your account
You must provide accurate information when you create an account and keep your credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access.
4. Acceptable use
You agree not to:
- Use the Service for unlawful, fraudulent, or harmful purposes.
- Attempt to reverse engineer, scrape, or interfere with the Service.
- Upload content you do not have the right to share, or that contains another person's data without consent.
- Use the Service to provide regulated financial advice to third parties.
5. Subscriptions and billing
Paid memberships renew automatically until canceled. You can cancel any time from your billing portal; cancellation takes effect at the end of the current billing period and you retain access until then. Except where required by law, fees are non-refundable.
5a. Free trial
We may offer a 3-day free trial to new accounts. A valid payment method is required to start the trial. Unless you cancel before the trial ends, your subscription will automatically convert to a paid plan and the payment method on file will be charged at the then-current rate. You can cancel at any time during the trial from your billing portal with no charge. Trials are limited to one per person or household and may be modified or withdrawn at our discretion.
6. Your content and data
You retain ownership of the financial information, documents, and notes you upload ("Your Content"). You grant us a limited license to process Your Content solely to operate, secure, and improve the Service for you. See our Privacy notice for details on storage and processing.
7. AI outputs
AI-generated outputs may be inaccurate, incomplete, or outdated. You are responsible for reviewing all outputs before relying on them. We do not warrant that any output is suitable for your specific circumstances.
8. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of liability
To the maximum extent permitted by law, Alter3d Development LLC and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid us in the 12 months before the claim or (b) USD $100.
9a. Ownership and intellectual property
The Service, including the "Atrium Wealth Council" name, logo, trade dress, software, prompts, agent personas, written content, and all related intellectual property, is the exclusive property of Alter3d Development LLC and is protected by United States and international copyright, trademark, and other intellectual property laws. No license or right is granted by implication, estoppel, or otherwise except as expressly set out in these Terms.
10. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if required by law. Sections that by their nature should survive termination will survive.
11. Changes to these terms
We may update these Terms from time to time. If we make material changes, we will notify you in-app or by email. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
11a. Governing law and venue
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Subject to the arbitration clause below, the state and federal courts located in Delaware have exclusive jurisdiction over any dispute not subject to arbitration, and you consent to personal jurisdiction and venue there.
11b. Arbitration and class-action waiver
Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, seated in Delaware (or by video conference). You and Alter3d each waive the right to a jury trial and to participate in any class, collective, or representative action. Either party may bring an individual claim in small-claims court if it qualifies. You may opt out of this arbitration agreement by emailing contact@atriumwealthcouncil.com within 30 days of first accepting these Terms.
11c. DMCA / copyright notices
If you believe content on the Service infringes your copyright, send a notice that complies with 17 U.S.C. § 512(c) to our designated agent: contact@atriumwealthcouncil.com, subject line "DMCA Notice." We will respond consistent with the DMCA and may terminate the accounts of repeat infringers.
11d. Export controls and sanctions
You may not access or use the Service if you are located in, or are a national or resident of, any country or region subject to comprehensive U.S. sanctions, or if you are on any U.S. government restricted-party list. You agree to comply with all applicable U.S. and international export, re-export, and sanctions laws.
11e. Electronic communications and e-sign consent
By creating an account, you consent to receive communications from us electronically (email, in-app notices, and SMS where applicable) and agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing. You may withdraw this consent by closing your account.
